1. Introduction & Acceptance of Terms

Welcome to AdEx AI Systems, LLC (“AdEx,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of the AdEx platform, website(s), and related services (collectively, the “Services”). You may not use the Services unless you agree to these Terms. By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms in full. Eligibility for promotional benefits, including the AdEx 10x ROI Money-Back Guarantee, applies only to subscribers who fully comply with these Terms.

3. Services

AdEx provides an automated advertising platform for local service businesses, including campaign setup, optimization, call delivery, and follow-up automation. The platform is offered as a subscription to the AdEx platform (the “platform fee”) and is not a traditional agency.

4. Eligibility

You must be at least 18 years old and a business decision maker to use the Services. The Services are not directed to individuals under 18.

5. Payment & Billing (Overview)

Platform fees, deposits, and other amounts owed are due as stated in your onboarding or order form. Platform fees are billed in advance and renew automatically until canceled in accordance with these Terms. Payments may be processed by third-party providers and may include card or ACH for monthly platform fees and wire transfer for required deposits as described below.

6. Promotional Ad Credits

From time to time, AdEx may offer a promotional ad credit (e.g., $1,000 or more, depending on tier). To be eligible, you must: (i) meet all stated conditions (such as booking and attending your consultation personally as the decision maker, providing a valid cell number and answering at your scheduled time, and providing at least 4 hours’ notice for any reschedule requests), (ii) be accepted into the AdEx platform, and (iii) remain in continuous good standing with all AdEx platform fees, deposits, and Google Ads charges through the time the credit is applied.

Ad credits are one-time, promotional, non-transferable, and have no cash value. They are not refundable or exchangeable under any circumstances, including cancellation, termination, or guarantee payout. Any ad credit applied will be deducted from any refund amount due under the guarantee. Ad credits may be partially provided by Google and partially funded by AdEx.

7. Consultations: Cancellations & Rescheduling

If you need to reschedule a consultation, you must provide at least 4 hours’ notice. Missed or late-notice consultations may result in forfeiture of eligibility for promotional offers, including any potential ad credits.

8. Performance Guarantee (Gold Tier+ Only)

8.1 Guarantee Statement

For subscribers at Gold Tier or higher, AdEx offers the 10x ROI Money-Back Guarantee: when you subscribe at Gold Tier or higher and actively engage with the AdEx platform, you will generate at least ten times (10x) the value of your platform fee in booked jobs within your first ninety (90) days (the “guarantee period”). If this threshold is not met and all eligibility requirements are satisfied, AdEx will issue a refund as outlined in Section 8.6 (Refund Scope & Cap).

8.2 Call Routing & Answer Requirement (Strict)

For the guarantee to apply, all inbound calls must route to AdEx first. Calls may (a) be answered by AdEx agents and warmly transferred to you, or (b) auto-forward to you if AdEx is busy or outside answering hours.

You must answer at least ninety percent (90%) of all calls that ring your line at all times—including auto-forwarded calls (inside or outside AdEx answering hours) and warmly transferred calls. All unanswered calls count, regardless of caller ID labels (including “Spam Likely”), your business hours, or any other circumstance. If your answer rate drops below 90% for any period, for any reason, guarantee eligibility is permanently forfeited.

8.3 Additional Eligibility Requirements (Strict)
  • Tier & Budget Lock: Maintain Gold Tier or higher without any downward tier adjustment for the full guarantee period. If a guarantee payout becomes applicable, you must remain at the same tier until payout is received.
  • Budget Consistency: Maintain the full included ad budget required for your tier with no reduction, pause, or interruption.
  • Close Rate: Close at least seventy percent (70%) of valid calls, where “valid” means a call from a genuine prospective customer within your defined service area (excluding spam, wrong numbers, out-of-scope).
  • System Compliance: Implement and maintain all AdEx platform assets, settings, and follow-up automations as configured by AdEx without modification unless approved in writing.
  • Proof of Performance: Accurately record job bookings and payments for verification.
  • Fair Market Pricing: Price your services at or above fair market value for your area. “Fair market value” is determined by AdEx based on industry data, competitor pricing, and other reasonable benchmarks; AdEx’s determination is final and binding.
  • Billing Perfection (Zero Tolerance): Maintain valid, accurate, and uninterrupted billing/payment information at all times with both AdEx and Google. Any billing irregularity immediately and permanently voids guarantee eligibility, even if later corrected.
8.4 Direct-To-Subscriber Call Routing (Forfeiture)

If you elect to route all calls directly to you (bypassing AdEx answering), you permanently forfeit guarantee eligibility.

8.5 Slow Season Deferment (Conservative)

The guarantee does not apply during industry slow seasons. If your onboarding or guarantee period overlaps a slow season, the guarantee is automatically deferred. The 90-day clock begins only after the conservative end of the slow season, as determined by generally accepted industry patterns (e.g., Google search trends). If multiple sources differ, the latest (most conservative) end date controls.

8.6 Refund Scope & Cap (Gold Benchmark)

If you qualify, your refund consists of: (i) your performance deposit (see Section 10), (ii) all platform fees paid during the guarantee period (including the 1.008 monthly multiplier where applicable), and (iii) your ad budget actually spent and invoiced by Google during the guarantee period (capped at $6,000 per month), less any ad credits applied.

The maximum refund available is the refund a Gold Tier subscriber would receive. Platinum/Black refunds are calculated as if you were Gold and will not exceed the Gold maximum. Refunds are issued via wire transfer within ten (10) business days of receiving wire instructions, unless otherwise agreed in writing.

9. Payment Terms

9.1 Inflation Adjustment (and AdEx Discretion)

Platform fees are subject to a monthly adjustment equal to a 1.008 multiplier (~0.8%). AdEx may adjust or modify this multiplier at its sole discretion if your payment terms, tier level, or billing structure change. Any such adjustment becomes effective upon notice.

9.2 Payment Method & Grace Period

If a scheduled payment attempt is unsuccessful, you have seven (7) calendar days from the failed payment date to update your payment method and successfully process payment. A late fee will apply for any failed payment resolved within this timeframe.

Important: The 7-day grace period affects service continuation only. Any billing irregularity immediately voids guarantee eligibility.

9.3 Cancellation for Non-Payment; Run-Off

If payment is not successfully processed within seven (7) days of the due date, your subscription is canceled. In such case:

  • AdEx will continue managing your campaigns for a prepaid run-off period based on your offer: thirty (30) days where one month was prepaid, or ninety (90) days where a three-month performance deposit was prepaid.
  • At the end of the applicable run-off period, your ad account will be paused. Momentum loss may result.
9.4 Voluntary Cancellation; Run-Off

If you cancel voluntarily, AdEx will continue to provide Services for the remainder of your prepaid run-off period (30 or 90 days, as applicable). During run-off, you remain responsible for paying Google directly for ad spend. If you decline to pay Google, AdEx may continue to serve campaigns using only the prepaid platform fee. If you remove AdEx’s access or request termination, prepaid fees are retained and remain non-refundable except under a valid guarantee payout.

9.5 Reinstatement After Cancellation

To reinstate service before the run-off period ends, you must pay: (i) all past-due platform fees, (ii) any required Prepaid Fees (see Section 10), and (iii) any reinstatement/reactivation/re-launch/administrative fee that AdEx requires. For Gold Tier, the same budget must be maintained; tiers above Gold may request a reduction to the current Gold budget, subject to approval.

10. Prepaid Fees (Performance Deposit, Setup/Launch & Other Advance Amounts)

Prepaid Fees Defined: AdEx may require deposits, performance reserves, prepayments, setup fees, launch fees, security fees, or other advance amounts (collectively, “Prepaid Fees”) as a condition of accessing or continuing to use the Services. The existence, structure, amount, timing, and labeling of Prepaid Fees may vary by offer, tier, or at AdEx’s discretion and will be specified in your order form or onboarding materials.

Current Model (illustrative; not limiting): As of the Effective Date, the standard Prepaid Fee includes a performance deposit equal to three (3) months of the platform fee, payable by wire transfer. This deposit does not apply to Month 1 and is applied to the final three (3) months of platform fees upon cancellation. Month 1’s platform fee is billed at signup via card or ACH, concurrent with the wire deposit. For at least the first six (6) months, Google bills you directly for ad spend.

Commencement of Services: Services commence only after AdEx has (i) received and confirmed the wire performance deposit and (ii) successfully processed Month 1 platform fee via card/ACH.

Non-Refundability; Guarantee Exception: All Prepaid Fees are strictly non-refundable, except where specifically included in a valid guarantee payout.

11. Refund Policy

All amounts paid to AdEx are strictly non-refundable—including platform fees, Prepaid Fees, ad budgets paid to AdEx (if any), promotional fees, and any other payments. The sole exception is where you qualify for a payout under the 10x ROI Money-Back Guarantee. Any refund owed under the guarantee is calculated strictly under Section 8.6, including deduction of any ad credits and the Gold Tier cap.

12. Billing Structure (Google Direct) & Six-Month All-in-One Option

Under the standard model, AdEx bills only the platform fee. Google bills you directly for ad spend. AdEx is not responsible for any errors, failures, or disputes in Google’s billing.

All-in-One Option (at AdEx’s sole discretion): After six (6) months in good standing, you may request to transition to an all-in-one billing model (AdEx bills platform fee and ad budget). This requires: (i) paying an increased performance deposit via wire equal to three (3) months of both platform fees and ad budget, and (ii) ensuring your Google Ads balance is $0 at transition. Approval is at AdEx’s sole discretion.

13. Account Access Requirement

You must maintain AdEx’s active manager/admin access to relevant Google Ads and related accounts. Removing or restricting AdEx’s access, or interfering with campaign management, results in immediate forfeiture of guarantee eligibility. Prepaid fees are retained and non-refundable except under a valid guarantee payout.

14. Chargebacks

Any chargeback you initiate results in immediate termination of Services. If chargebacks exceed your performance deposit, AdEx may pursue collection. All promotions, discounts, and credits are automatically forfeited upon initiation of a chargeback.

15. Intellectual Property

All content, software, and materials provided by AdEx remain AdEx’s sole property and are protected by copyright, trademark, and other applicable laws.

16. Data Usage & Privacy

By using the Services, you consent to AdEx’s collection and operational use of your data in accordance with our Privacy Policy.

17. Limitation of Liability

To the fullest extent permitted by law, AdEx will not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Services.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

19. Terminology & Offer Evolution

References to “platform fee” include substantially equivalent subscription, membership, or service fees that AdEx may use in future versions of the offer. Terminology and pricing may evolve, and continued use constitutes acceptance of any such evolution.

20. Changes to These Terms

AdEx may update, amend, or modify these Terms at any time in its sole discretion. Updates are effective immediately upon posting with a revised effective date. Continued use of the Services constitutes acceptance of the updated
